What the service is
Business Formation Pro is an organizational and informational tool for people forming and maintaining a limited liability company (LLC). The service helps you track a formation checklist (EIN, operating agreement, registered agent, state filing, bank account, and tax election), store related documents in an encrypted vault, and get reminders about upcoming state compliance deadlines.
Business Formation Pro does not file paperwork with any state agency or the IRS on your behalf. You (or a professional you engage) remain responsible for actually submitting filings, paying government fees, and meeting deadlines. The service organizes, tracks, and reminds — it does not itself file anything with any government agency unless a specific feature is explicitly described as doing so.
Subscriptions and billing
- Paid plans are billed on a recurring basis (monthly or yearly, depending on the plan you select) through our payment processor, Stripe.
- Subscriptions renew automatically at the end of each billing period unless canceled before that period ends.
- You can cancel or change your subscription at any time from the billing portal in your account settings. Cancellation takes effect at the end of the current billing period unless stated otherwise at checkout.
- Fees are generally non-refundable except where required by law or explicitly stated otherwise.
Acceptable use
You agree to use the service only for its intended purpose of organizing your own (or a business you're authorized to act for) LLC formation and compliance information. You agree not to misuse the service, attempt to access another user's account or data, upload unlawful content, or interfere with the operation or security of the service.
“As is” and limitation of liability
The service is provided on an “as is” and “as available” basis, for informational and organizational purposes around LLC formation, without warranties of any kind, express or implied, including as to accuracy, completeness, or fitness for a particular purpose. State filing fees, requirements, and processing times displayed in the service are subject to change by the relevant government agency at any time and should be independently verified.
To the maximum extent permitted by law, Business Formation Pro will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunity, arising out of or related to your use of the service — including any missed filing, deadline, or government fee, whether or not the service provided a reminder about it.
Your responsibility for filings
Filing documents with state agencies (such as a Certificate of Organization or biennial/annual report) and paying the associated government fees are your responsibility. The service tracks, organizes, and sends reminders about these obligations, but it does not submit filings or make payments to any government agency on your behalf.
Changes to these terms
We may update these terms from time to time. Material changes will be reflected by an updated “last updated” date once this policy is finalized.
